Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Opynbox LLC (“Opynbox,” “HazProof,” “we,” “us,” or “our”) governing access to and use of the HazProof website, iOS application, and related services (the “Services”). HazProof is a product of Opynbox LLC.

By creating or accepting an account, clicking “I agree,” signing in, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.

If you do not agree, do not use the Services.

• Organization — a contractor or other customer that maintains a HazProof workspace.
• Administrator— a user authorized to invite others, configure settings, and manage the Organization’s account.
• User— anyone invited to access an Organization’s workspace, including field workers and supervisors using the iOS app.
• Customer Data — safety and operational records the Organization submits (JHAs, meetings, inspections, observations, incidents, employee rosters, photos, signatures, and similar content).

HazProof is invite-only. Organizations provision Users. You must provide accurate information and keep it updated. You are responsible for activity under your login and for safeguarding credentials, including Face ID unlock on a device you control. Notify us promptly at support@hazproof.com if you suspect unauthorized access.

Organizations are responsible for their Users, for assigning appropriate roles, and for ensuring Users comply with these Terms and applicable safety and employment law.

Access to HazProof is offered on a commercial subscription basis. Plan features, seat or project limits, and pricing are described at signup, in a proposal, or on our pricing page, and may change prospectively with notice.

Fees are billed as agreed in your order form or in-product checkout. Unless otherwise stated, subscriptions renew until canceled. Except where required by law or expressly stated otherwise, fees are non-refundable. If a payment fails, we may limit access after any grace period we provide.

• You retain ownership of Customer Data. You grant us a license to host, process, and display it as needed to provide the Services.
• You must have a lawful basis to upload personal information about workers, visitors, and other individuals, including any medical or incident details you choose to record.
• You are responsible for the accuracy and completeness of safety records, signatures, and certifications entered in HazProof. The Services help you document work; they do not replace your legal duties as an employer or contractor.
• You must not use the Services for illegal activity, to upload content you do not have rights to, or to attempt to access another Organization’s data.

The HazProof iOS app is a field client for invited Users. It may request camera, photo library, location, Face ID, and notification permissions to capture evidence, stamp records, unlock the app, and deliver alerts. You can refuse those permissions; some features will not work.

We may deliver over-the-air updates that change the app’s web interface (JavaScript and styling) without an App Store update. New native device capabilities ship through the App Store.

There is no public sign-up and no digital goods for sale inside the iOS app. Company subscriptions are managed on the web.

Optional AI features may send limited Customer Data (for example JHA step text) to our AI provider to generate suggestions. Those suggestions are assistive only. You remain responsible for reviewing them before relying on them in the field. We do not warrant that AI output is complete, accurate, or compliant with any particular regulation.

The Services integrate with third parties, including Clerk for authentication, Supabase for data infrastructure, Vercel for hosting, and OpenAI for optional AI features. Your use of those features may be subject to those providers’ terms and privacy policies. We may change providers with reasonable care to keep the Services operating.

We are not responsible for third-party services we do not control, except as required by law.

HazProof, our logos, software, and content are owned by Opynbox LLC or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription for your internal business operations. You may not reverse engineer, resell, or use the Services to build a competing product except as allowed by law.

We aim for reliable uptime but do not guarantee uninterrupted or error-free Services, including while a device is offline. We may modify features or discontinue functionality with reasonable notice when practicable. Field records saved offline sync when connectivity returns; you remain responsible for confirming critical submissions.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SAFETY RECORDS, AI SUGGESTIONS, OR THE SERVICES WILL MEET ANY PARTICULAR REGULATORY REQUIREMENT OR PREVENT INCIDENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPYNBOX LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING).

Nothing in these Terms limits liability that cannot be limited under applicable law.

You will defend and indemnify Opynbox LLC against claims, damages, and expenses arising from your use of the Services, your Customer Data, your workplace practices, or your violation of these Terms or law.

You may stop using the Services and cancel a subscription as described in your order or by contacting support. We may suspend or terminate access for non-payment, suspected abuse, violation of these Terms, legal requirements, or risk to the platform or others.

On termination, your license ends. We may retain data as described in the Privacy Policy and as needed for legal and accounting purposes. Outstanding fees remain due.

We may update these Terms from time to time. The updated version will be posted at hazproof.com/terms with a revised “Last updated” date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance, except where applicable law requires a different process.

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, unless a mandatory consumer protection law in your jurisdiction requires otherwise. Courts located in Texas will have exclusive jurisdiction, subject to applicable law.
